Terms and Conditions

1. DEFINITIONS

a. “Weekly” refers to cleaning services that will be provided on a once-per-week basis.

b. “Fortnightly” refers to cleaning services that will be provided once every two weeks.

c. “Ad-hoc” refers to one-off cleaning services that will be provided on an as-needed basis and are not part of any regularly scheduled cleaning plan.

d. “Agreed Service Charge” refers to the amount payable to Bespoke CleanPro upon completion of the Cleaning Service.

e. “Service Appointment” refers to the pre-arranged and agreed upon schedule for the provision of cleaning services.

2. CONTENT STANDARDS

2.1. Users who make any reference to Bespoke CleanPro on any social media platforms are to ensure that any content uploaded is accurate and authentic. The content must not contain or encourage any of the following:

a. Making defamatory statements

b. Posting obscene and/or offensive content

c. Promoting violent, indecent, or sexually explicit material

d. Encouraging error threats

e. Discriminating against individuals based on their race, sex, religion, nationality, disability, sexual orientation, or age

f. Promoting or facilitating any illegal or unlawful activities, including but not limited to copyright infringement, computer misuse, intending to defraud, swindle, or deceive other users of Bespoke CleanPro

g. Threatening, harassing, or invading the privacy of others, causing undue distress or inconvenience

h. Impersonating any individual or misrepresenting your identity or affiliation

i. Misleading users by creating an impression that the content originates from Bespoke CleanPro when it does not

j. Commercial activities such as sales, competitions, advertisements, links to other websites, or premium rate phone numbers

k. Disclosing or collecting personal information without explicit consent.

2.2.  Bespoke CleanPro assumes no responsibility or liability to any third party for the content posted or uploaded by users on any social media platforms referencing Bespoke CleanPro. We do not endorse or recommend any such content and do not guarantee its accuracy. All content uploaded onto these platforms will be treated as non-confidential and non-proprietary. We reserve the right to use, store, copy, distribute, and disclose such content to third parties, including relevant authorities, for any purpose, without any liability or obligation to users.

2.3.  In the event that a user provides a review, feedback, or comments or another party claims that any content posted by a user on a social media platform referencing Bespoke CleanPro violates their intellectual property rights or right to privacy, we reserve the right to disclose the user’s identity to the relevant third party.

2.4.  By posting content on any social media platforms referencing Bespoke CleanPro, users acknowledge and accept these terms without any liability or recognition from us.

2.5.  If we deem any content posted on any social media platform referencing Bespoke CleanPro to be in violation of our Terms of Use, we reserve the right to remove or delete the post and disclose it to the relevant authorities without notice. Users are strictly prohibited from re-posting any content that has been removed for non-compliance with our Terms of Use.

3. INTELLECTUAL PROPERTY RIGHTS

In consideration of your use of Bespoke CleanPro website and application, you acknowledge and agree to the following terms and conditions:

3.1.  We hereby grant you a limited and revocable licence to access and use our website and application on any mobile device that you own or control, subject to your compliance with these terms and conditions. However, we retain all rights, title, and interest in and to the website and application, and you have no ownership or other rights in them.

3.2.  We own the intellectual property rights in Bespoke CleanPro, including its technology and support. You acknowledge that you are granted no rights in or to Bespoke CleanPro other than the right to use it in accordance with these terms and conditions. If you breach these terms of use, your right to use Bespoke CleanPro will be terminated immediately.

3.3. The use of any part of the content on Bespoke CleanPro for commercial purposes is strictly prohibited unless you obtain a licence or written consent from us.

4. OUR STAFF

4.1.  By accessing or using Bespoke CleanPro’s services, you agree to the following obligations:

a. To treat all of our Staff with respect and courtesy;

b. To provide a safe and suitable working environment for our Staff in compliance with all applicable laws and regulations;

c. To ensure that our Staff performs only the Cleaning Services stated on our Website and Application;

d. To ensure that all requests made to our Staff at the time of booking the cleaning service and subsequent requests comply with Bespoke CleanPro’s Terms of Use and all applicable laws and regulations;

e. To communicate all information necessary for our Staff to fulfil the Cleaning Services as soon as possible, prior to the commencement of the Cleaning Service; and

f. To provide our Staff with the necessary cleaning tools, equipment, and other materials, and to cooperate as soon as possible to enable them to provide the Cleaning Services.

4.2.  You must provide Bespoke CleanPro with the necessary information, such as your contact details and the address where the cleaning service will take place. Failure to comply may result in a cancellation fee of 100% of the Agreed Service Charge if our Staff is physically present at the address provided to Bespoke CleanPro.

4.3.  You acknowledge and agree that the cancellation fee is a reasonable estimate of the damages that we may incur as a result of your failure to provide accurate and complete information. You agree to pay the cancellation fee immediately upon demand.

4.4. Bespoke CleanPro reserves the right to terminate the agreement without refund or compensation in the event of your failure to comply with the above obligations. You agree to indemnify Bespoke CleanPro, its directors and employees from any and all claims, liabilities, damages, losses, and expenses (including legal and accounting fees) that may arise as a result of your failure to provide accurate and complete information.

5. CANCELLATION AND REFUND POLICY

5.1.  To effectively cancel a single event, you must do so through our Website or Application. Informing our Staff of your intention to cancel an event does not constitute an effective cancellation of said event.

5.2.  To effectively cancel more than one event, you may do so by writing to us. Informing our Staff of your intention to cancel does not constitute an effective cancellation.

5.3.  If you intended to cancel but did not make an effective cancellation in accordance with Clauses 4.1 and/or 4.2, you will incur cancellation charges under Clauses 5.5 where applicable.

5.4.  You can cancel an event on the Website or Application free of charge up to twenty-four (24) hours before the commencement of the event, in accordance with Clause 5.1.

5.5.  If you cancel an event within twenty-four (24) hours before the commencement of the event, you will have to pay a cancellation charge equivalent to one hundred percent (100%) of the Agreed Service Charge.

5.6.  If our Staff is unable to fulfil a scheduled Service Appointment, we will attempt to find you a replacement Cleaner at no additional cost. If we cannot find you an alternative Cleaner, we will reschedule your Service Appointment to a new date and time that suits you. You may cancel the Service Appointment at no charge if and only if we cannot find a replacement Cleaner for you.

5.7.  If you decide to refuse the Service Appointment provided by the replacement Cleaner, you must do so before the commencement of the scheduled Service Appointment. Failing to do so will constitute your acknowledgement of the entire duration of the Service Appointment provided by the replacement Cleaner.

6. TERMINATION

6.1. In the event of a breach of any of the terms and conditions outlined in this agreement, Bespoke CleanPro reserves the right to immediately terminate your access to and use of our website and application

7. PAYMENT

7.1.  Payment for cleaning services rendered shall be due and payable within three (3) days of completion of the cleaning service. Failure to remit payment within the specified time frame may result in late fees, interest charges, and/or suspension of services until payment is received in full.

7.2.  In the event of non-payment of dues, the service provider reserves the right to pursue legal action to recover any outstanding amount in accordance with the laws of the Republic of Singapore. The party responsible for the unpaid dues will be held liable for all costs and expenses incurred in connection with such legal action, including but not limited to attorney’s fees, court costs, and any other related expenses.

7.3.  If any payment remains outstanding for more than three (3) days, the service provider reserves the right to suspend any scheduled cleaning services until payment is made in full. The service provider may, at their discretion, terminate the agreement if the outstanding payment remains unpaid beyond the specified period.

8. LIABILITY

8.1. You acknowledge and agree that your access to and use of Bespoke CleanPro website/application and any content available on it, as well as any Cleaning Service that you book on Bespoke CleanPro platform, are at your own risk to the maximum extent permitted by law. Bespoke CleanPro shall not be liable for any incidental, special, exemplary or consequential damages, including but not limited to loss of profits, loss of data or computer damage, or the cost of substitute products or services or for any damages for personal or bodily injury or emotional distress that may arise in connection with:

a. Our Terms of Use;

b. The use of Bespoke CleanPro’s website and application;

c. Our Staff during Cleaning Service;

9. INDEMNIFICATION

9.1. By accessing or using the services provided by Bespoke CleanPro, you agree to indemnify Bespoke CleanPro, its directors and employees from any and all claims, liabilities, damages, losses, and expenses (including legal and accounting fees) that may arise in connection with:

a. Your violation of our Terms of Use;

b. Your violation of any laws or regulations in relation to the use of the services;

c. Any interaction you have with our staff, including but not limited to any injury, losses or damages (whether direct, incidental, consequential or otherwise) that may occur during or as a result of such interaction; or

d. Your violation of any third party rights.

You agree to cooperate fully in the defence of any such claims, and we reserve the right to assume exclusive control and defence of any matter subject to indemnification by you. You agree not to settle any such matter without obtaining our prior written consent.

10.ENTIRE AGREEMENT

10.1. These terms constitute the entire agreement between You and Bespoke CleanPro in relation to the use of website, application and service. These terms supersede all prior or contemporaneous agreements or understandings, whether written or oral, relating to the subject matter of these terms.

11. OTHER IMPORTANT TERMS

11.1. In the event that any provision of these Terms of Use is found to be unlawful, void or unenforceable, such provision shall be deemed to be severable from the remaining provisions and shall not affect the validity and enforceability of the remaining provisions. Each provision of these Terms of Use shall be considered separate and independent from the others. Should any court or relevant authority find any provision to be invalid or unenforceable, the remaining provisions shall continue to be in full force and effect.

11.2. We retain the right to enforce the provisions of this contract at any time. Our failure to immediately enforce any of the terms and conditions outlined in this document, or delay in taking action against you for any breach of these terms, does not relinquish our right to enforce such provisions in the future. You are still obligated to comply with these terms and conditions even if we do not immediately insist on it, and any delay on our part does not waive our right to take appropriate action at a later time.

12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1. Any dispute or claim arising from or related to these terms shall be exclusively resolved by the courts of the Republic of Singapore.

12.2. In the event of any dispute or claim arising out of or relating to these Terms of Use or your use of Bespoke CleanPro, both you and Bespoke CleanPro agree to first attempt to resolve the dispute or claim through informal means, such as good faith negotiation, mediation, or other similar methods. Such informal dispute resolution shall be initiated by either party by providing written notice to the other party of the dispute or claim, and both parties shall cooperate in good faith to attempt to resolve the dispute or claim within a reasonable timeframe.

12.3. If you and Bespoke CleanPro are unable to resolve the dispute or claim through informal means, either party may initiate legal proceedings in the courts of the Republic of Singapore. The courts of the Republic of Singapore shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms. However, the parties agree that any attempts at informal dispute resolution shall not constitute a waiver of any rights or remedies that either party may have under these Terms of Use or applicable law, including the right to seek injunctive relief or other equitable remedies.

13. INTELLECTUAL PROPERTY OWNERSHIP

13.1. Bespoke CleanPro owns and retains all proprietary rights, including all intellectual property rights, in the Bespoke CleanPro platform, content, and services.

13.2. You may not copy, modify, create derivative works of, download, distribute, sell, transfer, publicly display, publicly perform, transmit, or otherwise exploit the Bespoke CleanPro platform, content, or services without the express prior written permission of Bespoke CleanPro.

13.3. Bespoke CleanPro’s logo, trade names, and any other proprietary designations used on or in connection with the Bespoke CleanPro platform, content, and services are trademarks of Bespoke CleanPro. You agree not to use them without the express prior written permission of Bespoke CleanPro.
